These Escrow & Payment Terms ('Terms') govern all financial transactions on the Sanmiraa Platform (sanmiraa.com), operated by Sanmiraa Group ('Sanmiraa'). They apply to all users of the Platform, including clients, designers, freelancers, visualizers, and marketplace suppliers (collectively, 'Parties').

By using any paid feature, placing an order, or accepting a payment on the Platform, each Party confirms their acceptance of these Terms in full.

1. What Is Escrow and Why Sanmiraa Uses It

Escrow is a financial arrangement in which a neutral third party (Sanmiraa) holds funds on behalf of two parties to a transaction until predefined conditions are satisfied. Sanmiraa's escrow system is the backbone of every paid transaction on the Platform.

The escrow model exists to:

Protect clients from paying for work that is never delivered or does not meet the agreed standard.

Protect designers, freelancers, and suppliers from non-payment after work is completed and accepted.

Provide Sanmiraa with the authority and mechanism to enforce fair resolution in the event of a dispute.

Sanmiraa does not earn interest on escrowed funds and does not treat held funds as its own assets. Funds are held in trust for the Parties pending satisfaction of the release conditions described in these Terms.

2. Sanmiraa Balance — Internal Platform Currency

▶ IMPORTANT: Once funds have been received by Sanmiraa Group, they cannot be withdrawn in monetary form under any circumstances.
▶ In the event of a cancellation or approved return, all amounts are credited to the Client's Sanmiraa Balance — the Platform's internal currency — and may be used for any future projects, services, or marketplace purchases within sanmiraa.com.

The Sanmiraa Balance operates as follows:

All approved cancellation credits (full or partial) resulting from order cancellations, failed deliveries, or arbitration decisions in favour of the Client are credited to the Client's Sanmiraa Balance.

The Sanmiraa Balance can be applied to any order placed on the Platform — design services, visualizations, marketplace products, subscriptions, or AI credits.

The Sanmiraa Balance has no expiry date and remains accessible as long as the Client's account is active on the Platform.

The Sanmiraa Balance cannot be converted to cash, transferred to a bank account, or paid out in any monetary format under any circumstances.

The Sanmiraa Balance is non-transferable between accounts.

By making a payment on the Platform, the Client expressly acknowledges and agrees to this no-cash-withdrawal policy.

3. Escrow Payment Flow: Step by Step

Every transaction on the Platform follows the escrow payment lifecycle described below:

Step 1 — Order Placed

The Client selects a service or product and places an order. The Platform generates an order confirmation displaying the total amount payable, inclusive of all applicable fees.

Step 2 — Payment Captured

The Client completes payment via a supported payment method. The full amount (including Sanmiraa's commission) is captured and transferred to the Platform's escrow account. The Designer or Supplier does not receive any funds at this stage.

Step 3 — Funds Held in Escrow

The payment is held in the Platform escrow account. The Designer or Supplier is notified that the order is funded and work may commence. The escrow hold remains in place until a release condition is met (see Section 3).

Step 4 — Work Delivered

The Designer or Supplier delivers the completed work or product through the Platform's delivery system and marks the order as delivered.

Step 5 — Client Review Period

The Client has 7 calendar days from the delivery notification to: (a) confirm acceptance, triggering immediate release; (b) request revisions within the agreed scope; or (c) raise a dispute within the Platform.

Step 6 — Payment Released

Upon Client confirmation, or upon expiry of the review period without a dispute, funds are released from escrow to the Designer's or Supplier's Platform wallet, net of Sanmiraa's applicable commission.

Step 7 — Withdrawal

The Designer or Supplier may withdraw available funds from their Platform wallet to their nominated bank account or payment method, subject to minimum thresholds and processing times.

4. Escrow Release Conditions

Funds held in escrow will be released to the Designer or Supplier when any one of the following conditions is met:

4.1 Client Confirmation

The Client actively confirms delivery through the Platform's order management system. This is the standard and preferred release mechanism. Confirmation is final: once a Client confirms delivery and funds are released, no credit to the Sanmiraa Balance can be issued through the escrow system.

4.2 Automatic Release After Review Period

If the Client does not confirm delivery, request revisions, or raise a dispute within 7 calendar days of the delivery notification, the escrow funds are automatically released to the Designer or Supplier. The automatic release date and time are displayed in the Platform's order interface.

4.3 Arbitration Decision in Favour of the Designer or Supplier

If a dispute is raised and Sanmiraa's Arbitration Team rules in favour of the Designer or Supplier (in whole or in part), funds are released to the Designer or Supplier in the amount determined by the arbitration decision.

4.4 Mutual Agreement

If both Parties reach a written agreement on an alternative outcome (e.g. partial credit to Client's Sanmiraa Balance and partial release to Designer), communicated through the Platform's messaging system, Sanmiraa will implement the agreed split. Both Parties must explicitly confirm the agreement within the Platform before Sanmiraa takes action.

5. Escrow Hold: Rules and Restrictions

5.1 No Access During Hold

While funds are held in escrow, neither the Client nor the Designer or Supplier has the right to access, withdraw, or transfer the escrowed amount. Only Sanmiraa, acting as escrow agent, can initiate fund movements, and only in accordance with these Terms.

5.2 Hold Duration

The standard maximum hold duration is:

For design and visualisation services: the agreed project deadline plus the 7-day Client review period plus 14 days in the event of a dispute.

For marketplace products: 14 calendar days from the confirmed delivery date, unless a dispute extends the hold.

For disputed orders: funds remain held until Sanmiraa's Arbitration Team issues a binding decision or the Parties reach a mutual agreement.

In exceptional circumstances (e.g. regulatory requirements, fraud investigations, or unresolved complex disputes), Sanmiraa may extend the hold period beyond these limits with notice to affected Parties.

5.3 Interest

Sanmiraa does not pay interest on escrowed funds to any Party, regardless of the duration of the hold.

5.4 Currency

All escrow holds are denominated in the transaction currency selected at the time of order placement. Sanmiraa is not responsible for exchange rate movements between the time of payment capture and the time of fund release or withdrawal.

6. Cancellations and Credits to Sanmiraa Balance

Escrowed funds are returned to the Client in the form of a credit to their Sanmiraa Balance (not as a monetary refund) in the following circumstances:

6.1 Full Credit Scenarios

The Designer or Supplier fails to deliver within the agreed deadline without a mutually agreed extension.

The delivered work is fundamentally and materially different from the agreed scope, as determined by Sanmiraa's Arbitration Team.

The Designer or Supplier cancels the order after acceptance.

The Designer's or Supplier's account is suspended or removed by Sanmiraa during an active order.

A marketplace product arrives damaged, defective, or materially different from the listing, and the return is confirmed.

6.2 Partial Credit Scenarios

Work has been partially completed and the cancellation is agreed by both Parties or determined by arbitration.

The arbitration outcome determines that a proportional credit is fair based on the work completed.

6.3 No Credit Scenarios

The Client has confirmed delivery and funds have been released from escrow.

The credit request is submitted more than 7 calendar days after the delivery confirmation date.

The Client's dissatisfaction is based solely on subjective aesthetic preference unrelated to the agreed brief or listing.

The work was completed in full accordance with the agreed brief and all contractual revision rounds were used.

6.4 Credit Processing Timeline

Approved credits are applied to the Client's Sanmiraa Balance within 5–10 business days of approval. Sanmiraa does not charge a processing fee for approved credits. Credits to the Sanmiraa Balance are non-withdrawable and non-transferable in any monetary format.

7. Disbursement to Designers and Suppliers

7.1 Platform Wallet

Upon release from escrow, funds are credited to the Designer's or Supplier's Platform wallet, net of the applicable Sanmiraa commission. The wallet balance is displayed in real time in the user's account dashboard.

7.2 Withdrawal Conditions

Funds may be withdrawn from the Platform wallet subject to:

Minimum withdrawal threshold: displayed in account settings and subject to change with 14 days' notice.

Verified withdrawal method: the Designer or Supplier must have a verified bank account or payment method linked to their account before withdrawal is enabled.

Account standing: withdrawals are not permitted from accounts that are suspended, under investigation, or have outstanding chargebacks or disputes that may result in a debit to the wallet.

7.3 Withdrawal Processing Times

Bank transfer (SEPA, SWIFT, domestic): 3–5 business days after withdrawal request.

International bank transfer: 5–7 business days.

Third-party payment processor (where supported): 1–3 business days.

Processing times are estimates. Sanmiraa is not responsible for delays caused by third-party financial institutions. Sanmiraa does not charge a platform withdrawal fee; however, third-party processor fees or international transfer fees may apply and are the responsibility of the Designer or Supplier.

7.4 Failed Withdrawals

If a withdrawal fails due to incorrect banking details, the funds will be returned to the Platform wallet. The Designer or Supplier must update their payment details and resubmit the withdrawal request. Sanmiraa is not liable for funds lost due to incorrect payment details provided by the Designer or Supplier.

7.5 Unclaimed Funds

If a Designer's or Supplier's account remains inactive for a period exceeding 24 consecutive months after funds become available, Sanmiraa reserves the right to treat such funds as unclaimed and handle them in accordance with applicable law. Sanmiraa will make reasonable efforts to contact the account holder before taking any such action.

8. Commission and Fee Deductions

Sanmiraa deducts its commission from each payment at the point of disbursement (release from escrow), not at the point of capture. The commission amount is calculated on the gross Order value and deducted before funds are credited to the Designer's or Supplier's wallet.

Commission rates are disclosed at the time of order placement and vary by service type and user tier. Current rates are available in the Platform's Fee Schedule at sanmiraa.com. Commission rates may be updated with 30 days' prior notice.

In the event of a partial credit following a dispute, the commission is proportionally adjusted to reflect only the net amount retained by the Designer or Supplier.

9. Dispute Resolution Procedure

9.1 When to Raise a Dispute

A dispute may be raised by either Party if:

The Client believes the delivered work does not meet the agreed scope or quality standard.

The Designer or Supplier believes the Client is unreasonably withholding delivery confirmation.

A marketplace product arrived damaged, defective, or materially misdescribed.

Either Party believes the other has violated the terms of the agreement in a way that affects the transaction.

Disputes must be raised within 7 calendar days of the delivery notification date. Disputes raised after this window will not be eligible for escrow intervention.

9.2 Pre-Dispute: Direct Resolution

Before raising a formal dispute, Parties are strongly encouraged to attempt direct resolution through the Platform's messaging system. Many disputes can be resolved informally through clear communication. Sanmiraa may facilitate this process without formal arbitration upon request.

9.3 How to Raise a Formal Dispute

To raise a formal dispute:

Navigate to the relevant Order in your account dashboard and select 'Raise a Dispute', or

Send a dispute request to sanmiraa2026@gmail.com with the subject line: 'DISPUTE – [Order ID]'.

Include all relevant documentation: project brief, delivered files, communications, screenshots, and a clear statement of the issue.

The escrow hold on the relevant funds will be maintained for the duration of the dispute process.

9.4 Arbitration Process

Upon receipt of a formal dispute, Sanmiraa's Arbitration Team will:

Acknowledge the dispute within 2 business days.

Request submissions and evidence from both Parties within 5 business days.

Review all submitted evidence impartially.

Issue a binding arbitration decision within 14 business days of the dispute submission date.

9.5 Arbitration Outcomes

The Arbitration Team may determine one of the following outcomes:

Full release to Designer or Supplier: the Client's claim is not upheld; funds are released in full.

Full credit to Client's Sanmiraa Balance: the Designer's or Supplier's delivery is found to be materially deficient; funds are credited in full to the Client's Sanmiraa Balance.

Partial split: funds are divided proportionally — the Designer or Supplier receives their share to their wallet, and the Client's share is credited to the Client's Sanmiraa Balance.

Extended review period: the Parties are given additional time to reach a mutual agreement before a binding decision is issued.

9.6 Finality of Decision

The Arbitration Team's decision regarding the release or credit of escrowed funds is final and binding on both Parties within the Platform system. The arbitration decision does not prevent either Party from pursuing independent legal remedies outside the Platform.

9.7 Abuse of the Dispute System

Parties must not raise disputes in bad faith (e.g. to delay legitimate payments or to obtain credits for work that was correctly delivered). Repeated or vexatious dispute submissions may result in account restrictions. Sanmiraa reserves the right to dismiss disputes that are manifestly unfounded, frivolous, or submitted outside the eligible timeframe.

10. Chargebacks and Payment Reversals

A chargeback occurs when a Client disputes a charge directly with their bank or payment card issuer, resulting in a reversal of the payment by the financial institution. Chargebacks bypass Sanmiraa's escrow and dispute resolution system and are subject to the policies of the relevant payment processor.

When a chargeback is received:

The corresponding escrowed funds (or wallet balance) are immediately placed on hold pending investigation.

Sanmiraa will notify the Designer or Supplier of the chargeback and may request supporting evidence to contest it with the payment processor.

If the chargeback is upheld by the payment processor, the funds will be debited from the escrow or wallet. If this results in a negative wallet balance for the Designer or Supplier, the outstanding amount becomes immediately due to Sanmiraa.

If the chargeback is successfully contested, the funds will be reinstated.

Sanmiraa strongly encourages Parties to use the Platform's dispute resolution system rather than initiating chargebacks. Clients who initiate chargebacks without first using the Platform's dispute process may have their accounts restricted.

11. Fraud Prevention and Account Holds

Sanmiraa operates anti-fraud systems that monitor all transactions for suspicious activity. Sanmiraa reserves the right to:

Place a hold on any transaction or account balance where fraud, money laundering, or other illegal activity is suspected.

Request additional identity verification or documentation from any Party before releasing funds.

Suspend disbursements from an account under investigation for a period not exceeding 90 days, or longer where required by applicable law or regulatory authority.

Report suspected illegal activity to relevant law enforcement or regulatory authorities.

Sanmiraa will notify affected Parties of any account hold to the extent permitted by applicable law and without compromising an ongoing investigation.

12. Supported Payment Methods

Sanmiraa supports a range of payment methods depending on the user's region and account type. Supported methods are displayed at checkout and may include:

Credit and debit cards (Visa, Mastercard, Mir, and others as displayed at checkout).

Bank transfers (domestic and international SWIFT/SEPA).

Third-party digital payment processors (as made available in the Platform settings).

Sanmiraa does not store full card details. All payment data is processed by certified, PCI-DSS-compliant third-party payment processors. Supported payment methods may change; Sanmiraa will publish updates with reasonable advance notice.

14. Amendments

Sanmiraa Group reserves the right to amend these Terms at any time. Updates will be published at sanmiraa.com with a revised effective date. Users will be notified of material changes by email or through a prominent notice on the Platform at least 14 days before the change takes effect. Continued use of the Platform following the effective date of any amendment constitutes acceptance of the updated Terms.
